Terms of Service

1. Acceptance of Terms

By accessing and using OmnyChat, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our service.

If you are using OmnyChat on behalf of an organization, you agree to these terms on behalf of that organization and represent that you have the authority to bind that organization to these terms.

2. Age Requirements

You must be at least 13 years of age to use OmnyChat. If you are between 13 and 18 years of age (or the age of legal majority in your jurisdiction), you must have your parent or guardian's permission to use the service.

By using OmnyChat, you represent and warrant that you meet these age requirements.

3. Description of Service

OmnyChat provides a platform for interacting with multiple AI language models through a unified interface. The service allows users to compare responses from different AI models, manage conversations, and access various AI capabilities. The availability and features of specific AI models may change without notice.

4. User Accounts

To use OmnyChat, you must create an account. You are responsible for:

  • Providing accurate and complete information during registration
  • Maintaining the security and confidentiality of your account
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

You may not share your account credentials or allow others to access your account.

5. User Content and License

"User Content" refers to any text, files, images, or other materials you submit, upload, or transmit through OmnyChat, including your conversations and prompts.

You retain ownership of your User Content. By using OmnyChat, you grant us a worldwide, non-exclusive, royalty-free license to use, process, store, and transmit your User Content solely for the purpose of providing and improving the service.

You are solely responsible for your User Content and represent that:

  • You have all necessary rights to submit the content
  • Your content does not violate any third-party rights or applicable laws
  • Your content does not contain malware, viruses, or harmful code

6. Acceptable Use

You agree not to use OmnyChat to:

  • Violate any applicable laws or regulations
  • Generate harmful, abusive, threatening, harassing, defamatory, or illegal content
  • Create content that promotes violence, discrimination, or hatred
  • Generate content that exploits or harms minors
  • Infringe on intellectual property rights of others
  • Attempt to circumvent usage limits or restrictions
  • Interfere with the service or other users' experience
  • Attempt to gain unauthorized access to the service or its systems
  • Reverse engineer, decompile, or attempt to extract the source code of the service
  • Use automated methods (bots, scrapers) to access the service without permission
  • Access the service to build a competitive product or service
  • Resell or redistribute the service without permission
  • Use the service to send spam or unsolicited communications

7. Subscriptions and Payments

OmnyChat offers both free and paid subscription plans. Paid subscriptions are billed in advance on a monthly or annual basis through our payment processor, Polar.

By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel. You may cancel your subscription at any time through your account settings.

We reserve the right to modify pricing with reasonable notice to subscribers. Price changes will take effect at the start of your next billing cycle.

8. EU Right of Withdrawal

If you are a consumer in the European Union, you have the right to withdraw from a purchase within 14 days without giving any reason.

However, by purchasing a subscription and using OmnyChat, you expressly consent to the immediate provision of digital content and acknowledge that you lose your right of withdrawal once the service has been accessed, in accordance with Article 16(m) of Directive 2011/83/EU.

If you have not accessed the service, you may request a withdrawal within 14 days of purchase by contacting us.

9. Intellectual Property

You retain ownership of the content you create using OmnyChat. We retain ownership of the OmnyChat platform, branding, technology, and all related intellectual property rights.

AI-generated content is subject to the terms of the respective AI model providers. You are responsible for ensuring your use of AI-generated content complies with applicable laws and third-party rights.

10. Third-Party Content and Services

OmnyChat integrates with third-party AI providers (such as OpenAI, Anthropic, Google, and others through OpenRouter) to provide AI responses. We do not control and are not responsible for the content, accuracy, or reliability of AI-generated responses.

AI responses may contain errors, inaccuracies, or biases. You should not rely on AI-generated content for critical decisions without independent verification.

Your use of third-party AI models is also subject to the terms and policies of those providers.

11. Feedback

If you provide us with feedback, suggestions, or ideas about OmnyChat, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into our service without any obligation to compensate you.

12. Disclaimer of Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT AI RESPONSES WILL BE ACCURATE, COMPLETE, OR RELIABLE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OMNYCHAT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR USE OR INABILITY TO USE THE SERVICE
  • ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR YOUR DATA
  • ANY INTERRUPTION OR CESSATION OF THE SERVICE
  • ANY BUGS, VIRUSES, OR HARMFUL CODE TRANSMITTED THROUGH THE SERVICE
  • ANY ERRORS, INACCURACIES, OR OMISSIONS IN AI-GENERATED CONTENT
  • ANY THIRD-PARTY CONTENT OR CONDUCT

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED EUROS (EUR 100).

14. Indemnification

You agree to indemnify, defend, and hold harmless OmnyChat and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the service, (b) your User Content, (c) your violation of these terms, or (d) your violation of any rights of a third party.

15. Copyright and Intellectual Property Claims

We respect the intellectual property rights of others. If you believe that content on OmnyChat infringes your copyright or other intellectual property rights, please contact us with the following information:

  • Identification of the copyrighted work or intellectual property claimed to be infringed
  • Identification of the allegedly infringing material and its location
  • Your contact information (name, address, email, phone)
  • A statement that you have a good faith belief that the use is not authorized
  • A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner
  • Your physical or electronic signature

16. Termination

We may suspend or terminate your account and access to the service at any time, with or without cause, with or without notice, including for violations of these terms.

You may cancel your account at any time through your account settings or by contacting us.

Upon termination, your right to use the service will immediately cease. You are responsible for exporting any data you wish to keep before termination. Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.

17. Governing Law

These terms shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions.

Any disputes arising from or relating to these terms or the service shall be subject to the exclusive jurisdiction of the courts of Sweden. If you are a consumer in the European Union, you may also bring proceedings in the courts of your country of residence.

18. Changes to Terms

We may update these terms from time to time. We will notify you of significant changes by posting a notice on our website or sending you an email.

Continued use of the service after changes become effective constitutes acceptance of the revised terms. If you do not agree to the new terms, you should stop using the service.

19. Miscellaneous

These terms, together with our Privacy Policy, constitute the entire agreement between you and OmnyChat regarding the service.

If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision of these terms shall not constitute a waiver of such right or provision.
